Plywood is graded is graded on a scale from A through D. Avoid the stuff that that footballs in it, unless you wish to impregnated with low grade resin.

Lowes and Home Depot both carry graded lumber (usually #2 and better), although you may see a lot of lumber with low moisture content for framing lumber - prone to splitting- and lumber from Fast growing trees that don’t have the same qualities as older, slow-growing trees of my youth, I will try to shed some light on lumber buying.

I want to replace water-damaged celing of my basment which is made of sheetrock with plywood of 5 plys of the same thickness and with one side sanded and finished so I can paint it white.
The unfinished side I wish to shellac and also where the water damage on the sheetrock is I wish to drill a hole for water drainiage.

I don't really like sheetrock because if it gets wet it gets destroyed, also it's weak and can be punched through.

The basement celing is like 7 feet up.
This sheetrock is under the 1st story bathroom and gets water sometimes.
Not always, but sometimes.

You know how it is.
What do you reccomend?
The sheetrock is of standard thickness (1/2? 3/4) so for 5 ply I will need the plys to be thinner than the standard bottom-grade plywood.
I want lots of plys because since the celing is kinda low, it might be 7 or 8 feet: one has the "desire" to puch the celing when drinking and listening to music.
I want it to be unbreakable.

Also I am thinking of putting fiberglass pink insulation in said ceiling to keep some sound from going to the 1st floor. But not near the bathroom (as there is sometimes water)

Listen girl, what you want is custom epoxy pours over foam. It's light weight and you can get it in any style you like. If you need extra strength, have them through in a couple layers of fiberglass.

I need 2 things:
1) Same thickness as the celieng
2) Won't break when punched.
Plywood 5ply is the way. 3 play no. 5ply yes. 4 ply maybe.
